Terms of Service

PharmaCliff ("the Service") is operated by Lukas Jankauskas, registered as individuali veikla in Lithuania, EU.

The Service is an informational research tool. It aggregates and presents publicly available patent and regulatory data, and produces AI-generated analyses to assist subscriber research. The Service is NOT a legal service, a regulatory service, a financial service, or a substitute for professional advice. By accessing the Service, you ("the Subscriber") acknowledge this characterization and agree to these Terms.

By creating an account, paying for a subscription, or accessing any part of the Service, you accept these Terms in full. If you do not accept these Terms, do not use the Service.

• Weekly email digest of patent expirations matching your tracked therapeutic areas
• Web access to the search interface, patent detail pages, watchlists, and AI on-demand analysis
• Slack / Teams webhook integrations (subject to volume reasonable use)
• REST API access (rate-limited per your tier)
• Team seats and shared watchlists (when on a team-eligible tier)

• Founding tier: €39/month, capped at 50 lifetime seats. Once subscribed, this price never changes for you (the "Founding lifetime lock").
• Beta tier: €69/month, active while AI relevance scoring is in beta development.
• Standard tier: €129/month, active once AI features graduate from beta.

All prices are exclusive of VAT (B2B reverse-charge applies for EU customers). Prices are subject to change for new subscribers; existing subscribers remain on the tier they signed up at, with the explicit exception of the Founding lifetime lock.

• Scrape, mass-download, or republish the digest content as a competing dataset
• Share your account credentials or API keys with non-subscribers
• Use the Service to send unsolicited communications
• Reverse-engineer the AI scoring methodology
• Use the Service for any illegal purpose

Violations may result in account suspension without refund.

PharmaCliff aggregates publicly available patent and regulatory data from the USPTO, EPO, WIPO, and FDA Orange Book. AI-generated outputs include but are not limited to relevance scores, launch attractiveness scores, freedom-to-operate analyses, commercial relevance summaries, competitive landscape summaries, and generic-launch opportunity assessments.

All AI outputs are informational only. They do not constitute, and shall not be relied upon as, legal advice, regulatory advice, financial advice, investment advice, medical advice, or business advice of any kind. They are not a substitute for the independent judgment of a qualified patent attorney, regulatory affairs specialist, R&D analyst, or licensed business advisor.

You acknowledge that:

• AI outputs may contain errors, omissions, hallucinations, or out-of-date information
• You must independently verify any AI output with primary sources and qualified professionals before making any commercial, regulatory, legal, or financial decision
• PharmaCliff makes no warranty, express or implied, of accuracy, completeness, fitness for a particular purpose, or non-infringement with respect to any data or AI output
• Patent expiration dates, exclusivities, and litigation status are subject to extensions, settlements, and post-grant proceedings that PharmaCliff may not reflect in real time

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind.

Our total cumulative liability for any and all claims relating to the Service is capped at the greater of (a) fees you paid to PharmaCliff in the 12 months preceding the event giving rise to the claim, or (b) €2,000.

We are not liable for any indirect, incidental, consequential, special, punitive, or lost-profit damages, including but not limited to:

• Commercial losses arising from acting on AI-generated analysis without independent verification
• Regulatory penalties or compliance failures
• Lost generic launch opportunities or missed market windows
• Patent infringement disputes or litigation costs
• Business decisions, investments, or contract negotiations informed by PharmaCliff data

This limitation applies regardless of the legal theory (contract, tort, statute, or otherwise) and regardless of whether PharmaCliff was advised of the possibility of such damages.

PharmaCliff is currently offered as a beta software preview.

By using the Service during the beta period, you acknowledge and agree that:

• All data, AI outputs, scores, and analyses are experimental and may contain errors, inaccuracies, omissions, hallucinations, or contradictions
• The Service may be unavailable, slow, modified, discontinued, or removed at any time without notice
• AI features may produce no output at all, incorrect output, or output that contradicts other AI outputs
• There is no service-level agreement (SLA) and no warranty of uptime, accuracy, completeness, fitness for any purpose, or continuity
• Some weekly digests may not be delivered if upstream data sources (USPTO, EPO, FDA) are unavailable or rate-limited
• Features may change, break, or be removed at any time
• You participate as an evaluator, not as a buyer of a finished product, and you accept these risks in exchange for early access and founding-tier pricing

If beta status changes (e.g. the Service graduates from beta to general availability), we will notify you and update these Terms. Until then, every output, feature, and data point is subject to the limitations above.

You agree to indemnify, defend, and hold harmless PharmaCliff and Lukas Jankauskas (personally) from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of, or reliance on, AI outputs or aggregated data from the Service
• Any business, regulatory, legal, financial, or commercial decision you make based on PharmaCliff data or analysis
• Your violation of these Terms or any applicable law
• Your infringement of any third-party intellectual property rights through your use of the Service
• Any third-party claim alleging that decisions or actions you took based on PharmaCliff caused them harm

This indemnification obligation survives termination of these Terms.

No attorney-client relationship, no regulatory advisor relationship, no investment advisor relationship, and no fiduciary relationship of any kind is created by your use of PharmaCliff. The Service is a self-service informational research tool. Subscribers retain sole responsibility for their decisions.

THE SERVICE, THE DATA, AND ALL AI OUTPUTS ARE PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. PHARMACLIFF MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETE, OR THAT ANY AI OUTPUT WILL BE CORRECT.

These Terms are governed by the laws of the Republic of Lithuania, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or your use of the Service shall be brought exclusively in the competent courts of Vilnius, Lithuania.

You waive any objection to venue, forum non conveniens, or jurisdiction in Vilnius courts. For Subscribers outside the EU, this exclusive venue applies regardless of your home jurisdiction.

Nothing in this Section removes any non-waivable consumer rights under your local law. However, PharmaCliff is a B2B service intended for professional use; consumer protection laws may not apply to most uses.
